Membership Terms And Conditions
Article 1 (Purpose) The purpose of these Terms and Conditions of Membership (these “Terms and Conditions”) is to set forth the fundamental terms and conditions upon which Members may use any of the services provided by International Estuary Symposium (the “Company”) (such services, the “Services”). Article 2 (Definitions) (1) “Member” shall mean any person who has entered into a service use agreement with the Company and thereby been admitted as a member. (2) “Member ID” shall, with respect to any Member, a combination of letters and numbers set up and registered by such Member, including, without limitation, for verification of membership and use of the Services. (3) “Password” shall, with respect to any Member, a combination of letters and numbers that set up and registered by such Member, including, without limitation, for protection of membership information and use of the Services. (4) “Administrator” shall mean an employee of the Company in charge of the overall administration and operation of the Services. Article 3 (Membership Application and Acceptance) No person shall be admitted as a Member or receive any of the Services unless such person completes and submits to the Company a membership application in form prescribed by the Company and in substance satisfactory to the Company and the Company accepts such membership application in accordance with Article 4 following the receipt thereof. Article 4 (Acceptance of Application) (1) Subject to paragraphs (2) and (3) below, the Services shall be available for use to only such person who has completed an application in form prescribed by the Company and in substance satisfactory and agreed to these Terms and Conditions. (2) The Company may, in its sole discretion, withhold the acceptance of any person as a Member if: 1. the Company may no longer accept additional Members due to the capacity of the facilities related to the Services; 2. there has occurred any technical difficulty interrupting the Services; or 3. the Company otherwise determines that it is necessary to withhold the acceptance of such person as a Member. (3) The Company may, in its sole discretion, revoke membership of any Member or deny admission of any person as a Member if: 1. any information contained in the membership application submitted by such Member or person is false; 2. such Member or person used another person’s identity to apply for membership; 3. the Company deems that maintaining such Member’s membership or accepting such person as a Member may contravene or otherwise be contrary to the good morals or public order; or 4. the Company believes that such Member or person is likely to engage in an inappropriate act as a Member. Article 5 (Change of Membership Information) Each Member shall diligently maintain its own information to, inter alia, use the Services and facilitate information sharing, and shall update such information in the event of any change thereto. Article 6 (Withdrawal and Restriction on Use) (1) A Member may personally apply for withdrawal online or offline. (2) The Company may, in its sole discretion, terminate a service use agreement with any Member and thereby revoke membership of such Member if such Member : 1. engages in any activity that contravenes or otherwise be contrary to the good morals or public order; 2. posts any material that prejudices any other person's right or is otherwise unlawful; 3. provides or registers any false information; 4. used a stolen identity of another person to become a Member (for the avoidance of doubt, a person whose identity was stoled may be admitted as a Member in the Company's sole discretion); 5. illegally interferes with the operation of this website; 6. uses for commercial purposes, or publicly discloses without prior authorization, any information it acquires in the course of using the Services provided by the Company; or 7. causes damages to any other Member or the Company. Article 7 (Provision of Information and Services) (1) The Company may, by email, telephone or mail provided in a Member's application form, provide to such Member any information as the Company may deem necessary to further the interest of such Member. (2) The Services will be provided 24 hours a day, except that the Services may be interrupted without prior notice (i) during regular maintenance or equipment repairs, (ii) as permitted by the Telecommunications Business Act or (iii) upon the occurrence of an Act of God or other force majeure event. (3) Certain items of information may be provided for additional charges upon separate request. Article 8 (Obligation to Maintain a Member's Personal Information) (1) The Company may not, without the consent of a Member, provide, distribute or otherwise disclose to any third party any personal information of such Member collected by the Company for the purpose of providing the Services, except where the disclosure of such personal information is duly required by the government or otherwise deemed necessary for the public interest (2) The Company shall use its reasonable efforts to facilitate the use of the Services by Members and shall use personal information of Members only for the purpose of improving the Services. Article 9 (Member's Obligation Regarding the Use of the Services) (1) Each Member shall be solely responsible for any disclosure of a Member's Membership ID and/or Password caused by such Member's negligence, and any damages arising from such disclosure. (2) Each Member's access to the Services shall be limited to such Member personally and, in the event a Member assigns, transfers or lends such access to any third party, the Company may, in its sole discretion, delete such Member's Membership ID and such Member shall be solely responsible for any consequence arising from such unauthorized assignment, transfer or lending. (3) Each Member shall be prohibited from engaging in any of the following activities in connection with using the Services: 1. an act of unauthorized use of any other person's email address; 2. an act of using for commercial purposes, or disclosing to any third party without the poster's or the Company's approval, any information that such Member acquired in the course of using the Services (provided, that in the event such use or disclosure is required for the public interest or for furtherance of such Member's interest, such Member shall consult with the Company and obtain the Company's approval in advance); 3. an act of posting any material that prejudices any third party's right, including copyright; 4. an act of interfering with the Company's operation of this website; and 5. an act of distributing to any third party any information or text, image or other material that contravenes or is otherwise contrary to the good morals or public order. (4) Each Member shall cooperate with the Company's efforts to improve the Services provided to its Members. Article 10 (Responsibilities and Authorities Regarding Posted and Stored Materials) (1) Each Member shall be responsible for any software, program, information (including personal information), message, data, document, image and other material that it has posted on this website, as well as any damages arising from or in connection with trademark infringement or any other illegal act committed by it. (2) The Company shall use its reasonable efforts to maintain any material posted or stored on this website. (3) All copyrights to any material posted or stored on this website are deemed owned by a person who posted or stored such material, except that such person shall have no copyright to any materials owned by a third party. (4) No Member may (i) remove, modify, reproduce, duplicate, post, transmit, distribute or provide link to any software without due authorization or without the permission of the holder of the copyright to such software, or (ii) except as permitted by the holder of the copyright to any software, post such software by removing or concealing the identity of the copyright holder or changing the title of such software. (5) The Company may, with the consent of a Member who posted or stored any material on this website, use such material in publication, CD-ROM production or elsewhere. Article 11 (Indemnification) (1) The Company shall not, in any event, be responsible or liable to any Member (i) for any interference with the Services caused by such Member or (ii) with respect to any profits or losses that such Member expected from the use of the Services or any profits or losses of such Member arising from any information or material that it has acquired through the Services. (2) Each Member shall indemnify and hold harmless the Company for and against (i) any inaccuracy, untruthfulness or unreliability of any information or material posted by such Member, (ii) any consequence resulting from a transaction or relationship between or among Members and (iii) any claims made by a third party against the Company, except that the Company shall be responsible for any damages incurred by a Member as a direct result of the Company's gross negligence or willful misconduct. Article 12 (Effectiveness and Amendments) (1) Effectiveness These Terms and Conditions shall take effect with respect to a Member upon notification or deed notification hereof to such Member, including, without limitation, by publication on website or by email (2) Amendment The Company may, without prior notice to any Member, amend these Terms and Conditions upon the addition of any Service or the occurrence of any material event requiring such amendment under the Company’s policy or for any other reason; provided, however, that a Member not consenting to such amendment shall be entitled to cancel its membership; provided, further, that if the Member, after being notified of such amendment, logs in for three or more times without expressing its intention to cancel its membership, then the Member shall be deemed to have given its to such amendment. Article 13 (Governing Law) Any matters not set forth herein shall be governed by the Telecommunications Business Act and any other applicable laws of the Republic of Korea. Article 14 (Jurisdiction) Any dispute between a Member and the Company arising from or in connection with any of the Services shall be submitted to the jurisdiction of a court of competent jurisdiction in the location of the Company as the court of first instance. (Addendum) These Terms and Conditions shall Come Into Force As of June 22, 2007. 1. Objectives of Personal Information Collection and Use The Information Entered at Membership Application Is Used to Collect Information and Provide Service by Manager Manager Can Store and Delete the Entered Information 2. You Must Agree If You Want to Use Required Membership Application Information. (Addendum) These Terms and Conditions Shall Some Into Force as of March 22, 2014.
